Terms of Service - Kuzmack Suites

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Kuzmack Suites website and services operated by Kuzmack Suites ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Accounts

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Subscriptions

Billing

Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.

Free Trials

We may offer a free trial period for certain subscriptions. At the end of the free trial period, you will be charged for the subscription unless you cancel before the trial ends.

Auto-Renewal

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.

Cancellation

You may cancel your Subscription renewal at any time. Your cancellation will take effect at the end of the current paid term. You will continue to have access to the Service through the end of your current Billing Cycle.

Refunds

Except when required by law, paid Subscription fees are non-refundable. We do not provide refunds or credits for partial months or years of service, upgrade or downgrade refunds, or refunds for periods of inactivity.

3. Acceptable Use Policy

You agree not to use the Service:

In any way that violates any applicable national or international law or regulation
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
To impersonate or attempt to impersonate Kuzmack Suites, a Kuzmack Suites employee, another user, or any other person or entity
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

4. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Kuzmack Suites and its licensors.

The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

5. User Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service.

You retain any and all of your rights to any Content you submit, post, or display on or through the Service and you are responsible for protecting those rights.

6. Data Ownership and Export

You retain all rights to data you upload or create using our Service. We claim no intellectual property rights over the material you provide to the Service.

You may export your data at any time through our data export tools. Upon account termination, you will have a grace period to export your data before it is permanently deleted.

7. Service Availability

We strive to maintain 99.9% uptime, but we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time or for any reason without notice to you.

8. Limitation of Liability

In no event shall Kuzmack Suites, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kuzmack Suites and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

Your use and access of the Service
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
